Beat License
Agreement

• Files delivered — Tagged MP3 preview + full-quality WAV master + complete stem pack (individual track bounces).
• Usage rights — Unlimited streams, unlimited distribution copies, unlimited music videos, sync / film / TV / ads cleared.
• Exclusivity — Beat is removed from THE VAULT immediately upon purchase. It will not be sold or licensed to any other party after that point.
• Revenue cap — None. No stream cap, no gross revenue ceiling.
• Publishing split — 50 / 50 between Licensee and Producer (see §4).
• Master royalty — Negotiable; indie releases carry no automatic ongoing master royalty. Major label / commercial deals — contact Producer prior to signing (see §4).
• Credit required — "Prod. by BOYPERSIA" is mandatory on every release, always (see §3).
• Sublicense / resale — Strictly prohibited (see §5).

• "Producer" means BOYPERSIA, the sole creator and copyright holder of all beats listed in THE VAULT.
• "Licensee" means any person or entity that purchases a license through THE VAULT.
• "Beat" means the instrumental composition, sound recording, and all associated audio files made available for purchase.
• "License" means the limited, non-transferable right granted to the Licensee to use the Beat as specified by the purchased tier.
• "New Work" means a vocal recording or other creative work produced by the Licensee that incorporates the Beat.
• "Net Master Revenue" means gross income from master recording sales, streaming royalties, and synchronisation fees, after deduction of distribution and platform fees.

Upon confirmed payment, the Producer grants the Licensee a limited, exclusive, non-transferable license to use the Beat to create and distribute one New Work, subject to all terms herein. This Agreement does not transfer copyright or ownership of the Beat to the Licensee.

The Licensee acquires no ownership interest in the Beat's underlying composition or sound recording. The Producer retains all copyright and intellectual property rights in and to the Beat. The 50/50 publishing co-writer credit granted under §4 is a performance and mechanical royalty entitlement only — it does not constitute a transfer of the composition copyright.

Credit must appear as:

• Song / track title — Include "(Prod. by BOYPERSIA)" in the official title or subtitle field.
• Streaming metadata — Producer credit must be populated in the composer/producer field on all DSPs (Spotify, Apple Music, Tidal, etc.).
• Physical releases — "Produced by BOYPERSIA" must appear in liner notes and sleeve art.
• Music videos — A visible on-screen credit card at start or end of the video.
• Social media posts — Tag @boypersiaaa in all promotional posts featuring the New Work.
• Sync placements — "Music produced by BOYPERSIA" in end credits and cue sheets.

Publishing: The Producer (BOYPERSIA) is co-writer for publishing purposes and must be registered as such with the Licensee's Performing Rights Organisation (e.g. APRA AMCOS, ASCAP, BMI, PRS, SOCAN). The Licensee is responsible for ensuring correct PRO registration of both parties within 30 days of first commercial release. The Producer's publishing share is 50% of the composition's public performance, mechanical, and synchronisation income.

Master royalty — independent releases: For self-released and independently distributed works, no ongoing master recording royalty applies. The purchase price covers the Producer's master-side participation for independent use in full.

Sync licensing: The Licensee may exploit the New Work in synchronisation contexts (film, TV, ads, trailers) without further clearance, provided the Producer receives the publishing-side sync fee consistent with the 50/50 split. The Licensee must notify the Producer within 14 days of any sync placement and disclose the sync fee received.

The following uses are expressly prohibited under all tiers:

• Sublicensing or resale — The Licensee may not sell, transfer, sublicense, or assign the Beat or this License to any third party.
• Beat resale platforms — The Beat may not be re-uploaded to any beat selling platform (BeatStars, Airbit, etc.) by the Licensee.
• AI training — The Beat may not be used to train, fine-tune, or evaluate any machine learning or artificial intelligence model.
• Content ID registration — The Licensee may not register the Beat or New Work on YouTube Content ID, DistroKid's cover song tool, or similar systems without prior written consent from the Producer. The Licensee may co-register with the Producer's written approval.
• Hate, violence, defamation — The Beat may not be used in content that promotes hate speech, incites violence, or defames any person or group.
• Political advertising — Use in paid political advertising requires specific written consent from the Producer.
• Sampling the Beat — Re-releasing the Beat as a sample pack or loop library — with or without processing — is prohibited.

• Bids are binding — Submitting a bid constitutes a binding commitment to purchase at that price if your bid wins.
• Payment window — The winning bidder will be contacted by email within 48 hours of auction close. Full payment must be completed within 72 hours of that notification.
• Non-payment — Failure to pay within 72 hours voids the bid. The Beat returns to the vault for re-auction. The bidder may be banned from future auctions.
• Buy Now — Selecting "Buy Now" locks the beat at the listed price and immediately initiates the purchase process. The Beat is held for 24 hours pending payment confirmation.
• All sales are final — See §7.

By submitting a bid or clicking "Buy Now" the Licensee acknowledges and accepts this no-refund policy. Initiating a chargeback or payment dispute with a financial institution for a legitimately completed beat purchase constitutes a breach of this Agreement. The Producer reserves the right to pursue all legal remedies available, including recovery of the license fee, legal fees, and copyright infringement damages.

• Standard delivery — Tagged MP3 preview + full-quality WAV master delivered via email within 24 hours of confirmed payment. Beat is removed from THE VAULT at point of payment.
• Stem pack — Full stem pack (individual track bounces) delivered within 48 hours. If additional bounce sessions are required, the Producer will confirm a revised timeline by email.
• Re-delivery — One (1) re-download request is honoured per purchase within 30 days. After 30 days, re-delivery is subject to file availability and may incur an admin fee.
• Delivery issues — If files are not received within the stated window, contact boypersiamgmt@gmail.com immediately. File delivery issues will be remedied without charge.

The Producer warrants that all Beats listed in THE VAULT are original compositions and that the Producer holds all rights necessary to license them. The Producer does not warrant that the Beats are free from third-party sample content unless explicitly stated on the individual beat listing.

The Licensee is solely responsible for clearing any third-party samples that may exist within a Beat if the listing notes uncleared samples. The Producer's liability for any breach of warranty is limited to the license fee paid. In no event shall the Producer be liable for indirect, consequential, or punitive damages.

This Agreement constitutes the entire agreement between the parties relating to the Beat. No oral representations alter these terms. These terms supersede all prior negotiations, understandings, or agreements.

This Agreement is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia, without regard to conflict of law principles.

Any dispute arising from this Agreement shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered by the Resolution Institute (Australia) before either party may initiate court proceedings.

Nothing in this clause prevents the Producer from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.
